2. Terms used
2.1. The terms workspace, account, agent, grant, approval record, personal workspace and business workspace have the meaning given in section 3 of the privacy notice.
2.2. The following terms also apply.
- The customer is the natural or legal person who opens a workspace and accepts these terms.
- A consumer is a customer who is a natural person acting for purposes outside any trade, business, craft or profession they carry on (Art. 3(1)(a) of the Codice del consumo, d.lgs. n. 206/2005, the Italian Consumer Code). A consumer usually uses a personal workspace.
- A business customer is any customer who is not a consumer.
- The app is the Socializza application, in its web version and in its versions for iOS and Android.
- A member is a person who accesses the workspace with their own member account.
- The plan is the level of service the workspace pays for: Gratis, Osserva, Pubblica, Interagisce, Agenzia or Enterprise.
- Customer content is what you, your members and your agents put into Socializza: drafts, posts, replies, media, configuration and grants.
- The kill switch revokes one agent, one brand or the whole workspace in a single action.
- The acceptable use policy is the text that lists the uses of Socializza that are not permitted, published in acceptable-use.md.
3. Contract documents
3.1. The contract consists of these terms and the acceptable use policy.
3.2. For a business workspace the contract also includes the data processing agreement, the list of sub-processors and the data residency statement. On matters of personal data protection, the data processing agreement prevails over these terms. The exception is the liability cap in section 18.2, which also covers the obligations under the data processing agreement.
3.3. The privacy notice describes the processing for which we are the controller.
3.4. The Enterprise plan is also governed by a separate contract. On the matters it governs, the Enterprise contract prevails over these terms.
4. The service
4.1. Socializza connects your social accounts to the agents you use. It keeps platform tokens in its own vault and never hands them to agents. Each agent receives its own credentials from us, valid for one hour at most and usable only with Socializza.
4.2. You create the grants on Socializza's consent screen. An agent never chooses accounts or scopes. An agent sees and uses only what its grants allow.
4.3. The agents are yours. You choose them and you run them, outside Socializza.
4.4. Socializza does not write content. It does not process customer content with artificial intelligence models.
4.5. Socializza records every agent call and every member action in the audit log. It keeps an approval record for every post.
4.6. At launch Socializza connects Facebook Pages, Instagram, Threads and X. The app runs on the web, on iOS and on Android.
4.7. We use only the platforms' official APIs. What a platform does not allow third-party applications to do, Socializza does not do. For this reason Socializza does not connect:
- personal Facebook profiles;
- personal Snapchat accounts;
- WhatsApp and Messenger chats;
- Facebook groups.
5. Conclusion of the contract and access
5.1. The contract is concluded when you open the workspace and accept these terms. A move to a paid plan is concluded when you complete the purchase.
5.2. We confirm the conclusion of the contract and every purchase to you by email, with the text of these terms.
5.3. A person who opens a business workspace declares that they have the authority to bind the customer.
5.4. To open a personal workspace you must be at least 16, in every State. Before opening it you state your age. If you are 16 or 17 you do not need a parent's consent (Art. 2-quinquies of d.lgs. n. 196/2003 and Art. 4(4) of Legge n. 132/2025, the Italian law on artificial intelligence). Section 10.2 of the privacy notice describes how we inform you.
5.5. If you are a consumer, to buy a paid plan you must be 18, or have the consent of a parent or guardian (Art. 2 of the Codice civile, the Italian Civil Code).
5.6. Two-factor authentication is mandatory for workspace owners and admins.
5.7. Keep your sign-in credentials, your agents' credentials and your bootstrap tokens safe. You are liable for the use made of them by anyone who receives them from you. If you suspect unauthorised use, use the kill switch and write to support@socializza.com.
6. Plans and prices
6.1. The plans are as follows.
| Plan | Price/month, excl. VAT | Accounts included | What an agent can do | Audit |
|---|---|---|---|---|
| Gratis | €0 | 1 | Osserva only: reading and discovery; everything else in dry-run | 7 days |
| Osserva | €5 | 5 included, then €1 each | Reading and discovery | 30 days |
| Pubblica | €9 | 5 included, then €1 each | Media, drafts and publishing in ask-first | 90 days |
| Interagisce | €19 | 15 included, then €1 each | Replies and moderation (section 6.8), autonomous within the limits | 1 year |
| Agenzia | €59 | 50 included, then €0.80 each | Everything, across several brands | 1 year, export |
| Enterprise | On request | By contract | By contract | By contract |
6.2. The "Audit" column shows how long we keep the audit log.
6.3. The app with push approvals is included in every plan, Gratis included. Prices are the same on the web and in the stores.
6.4. The Agenzia plan is sold on the web only.
6.5. For a business customer the prices in the table apply, exclusive of VAT. For a consumer in Italy the monthly prices with VAT at 22% are as follows:
- Osserva €6.10;
- Pubblica €10.98;
- Interagisce €23.18;
- Agenzia €71.98;
- each account beyond those included €1.22, in the Agenzia plan €0.98.
A consumer in another Member State of the European Union pays that State's VAT rate. Every consumer sees the total price, taxes included, before purchase (Art. 22(4)(c) and Art. 49(1)(e) of the Codice del consumo).
6.6. We may limit or change the Gratis plan for the reasons, with the notice and with the rights in section 19.
6.7. We may change the prices of paid plans. We notify you at least 30 days before the renewal from which the new price applies, by email and in the app. If you do not accept the new price, you may cancel before the renewal.
6.8. The following are not available at launch, on any plan:
- managing comments on Facebook Pages and Instagram: replying, hiding and deleting;
- receiving mentions and tags from Facebook Pages and Instagram;
- bulk approval;
- webhooks that send new comments, mentions and messages to agents.
We add these features with the notice in section 19.
7. Payment, renewal and cancellation
7.1. You pay monthly or annually, as you choose at purchase.
7.2. On the web you pay through Stripe Payments Europe, Limited.
7.3. In the app for iOS and Android you buy through Apple (App Store) or Google (Google Play). Apple and Google are the sellers. Payment, renewal, cancellation and refunds of store purchases follow their terms.
7.4. The subscription renews automatically at the end of each period, for a period of the same length, until you cancel it.
7.5. You may cancel at any time. Cancellation takes effect at the end of the period already paid for, and the plan remains active until that date.
7.6. Fees paid are non-refundable. The exceptions are:
- refunds provided for by law, including the refund on consumer withdrawal in section 8;
- the pro rata refund in section 7.4 of the data processing agreement, when a business customer terminates following its objection to a sub-processor;
- the pro rata refund in section 19.4, when a business customer terminates after a change;
- the pro rata refund in section 19.5, when a consumer terminates the contract after a change;
- the refund in section 16.3, when we terminate the contract for your breach;
- the refund in section 16.5, when we withdraw from the contract.
8. Consumer right of withdrawal
8.1. If you are a consumer, you may withdraw from the contract within 14 days of its conclusion, without giving any reason and at no cost (Art. 52 of the Codice del consumo). For a paid plan the 14 days run from the purchase.
8.2. To withdraw, use the "Withdraw from contract here" function. You find it on the workspace's "Plan and billing" page, on the web and in the app, and at the foot of every page of the Socializza website. The function remains available for the whole withdrawal period and works as follows:
- you enter or confirm your name, the contract, meaning the workspace and the plan, and the email address for the receipt;
- you press "Confirm withdrawal";
- we send you at once by email a receipt with the content of your statement and the date and time you sent it.
Your withdrawal is in time if you send it before the withdrawal period expires (Art. 54-bis of the Codice del consumo). Alternatively you may send support@socializza.com an explicit statement of your decision. You may use the model withdrawal form in Annex I, Part B, of the Codice del consumo, but you are not obliged to.
8.3. We refund the payments received, net of the amount in section 8.4, within 14 days of the day we receive your withdrawal, using the same means of payment you used (Art. 56 of the Codice del consumo).
8.4. You may expressly ask for the service to start immediately, during the withdrawal period. If you then withdraw, you pay only for the part of the service provided up to the withdrawal, in proportion to the price of the period (Art. 57(3) of the Codice del consumo). We confirm your request by email.
8.5. You lose the right of withdrawal only once the service has been fully provided, if you asked for the immediate start and acknowledged that you lose the right of withdrawal on full performance (Art. 59(1)(a) of the Codice del consumo).
8.6. If you do not ask for the immediate start, the paid plan is activated at the end of the withdrawal period.
8.7. For store purchases the seller is Apple or Google. You exercise withdrawal with the store, under its terms.
9. Your role and your responsibilities
9.1. You are the deployer, within the meaning of Regulation (EU) 2024/1689, of the artificial intelligence systems you use through your agents. You are not the deployer if you use them in the course of a personal non-professional activity (Art. 3(4) of the Regulation).
9.2. You have editorial responsibility for what your agents publish, reply or moderate through Socializza.
9.3. You are liable for the actions of your agents and your members. Every request that an agent sends within a grant you created counts as your instruction.
9.4. You must comply with the terms of every platform you connect, including its developer policies.
9.5. You must comply with the acceptable use policy.
9.6. In a business workspace you are the controller of the workspace content, including the personal data of third parties that you receive from the platforms. The data processing agreement governs our role as processor.
9.7. If you practise an intellectual profession, Art. 13 of Legge n. 132/2025 requires you to tell your clients which artificial intelligence systems you use. The template notice on the use of artificial intelligence is a text to adapt for this purpose.
10. Approvals and the AI label
10.1. Socializza records an approval as human review only if:
- a natural person you have designated approves, authenticated in the app;
- the full text is on screen when the person approves;
- in a bulk approval, once available (section 6.8), the person opens each item separately;
- in an approval by email, the email or the page at its link shows the full text and the approval works only from that view.
10.2. An agent token can never approve. Approval from the lock screen or from a push notification is a procedural check and does not count as review.
10.3. Whatever goes out without review automatically receives the AI label. The same applies to posts approved in bulk without opening each item. The label texts are in the AI labels.
10.4. Human review does not exempt images, audio and video that constitute a deepfake from the label (Art. 50(4) of Regulation (EU) 2024/1689).
10.5. The exemption in Art. 50(4) of Regulation (EU) 2024/1689 for text that has undergone human review is for you to claim. Socializza provides you with the approval record that documents the review. We do not declare compliance on your behalf.
10.6. The approval record states the responsible entity, the responsible person and the address of your public contact page. That page carries the line "Responsible editor: [name], [contact]".
11. Platforms
11.1. The platforms are third parties. They process what you publish under their own terms with you.
11.2. If a platform changes or withdraws an API, we may disable the Socializza feature that depends on it. Section 19 applies.
11.3. If a platform asks us to stop a customer's access to the platform's data, we may disconnect the accounts concerned.
12. Availability
12.1. For paid plans, Socializza's monthly availability target is 99.9%.
12.2. Failure to meet the target gives a right to service credits only if an Enterprise contract provides for them.
12.3. Availability is the share of minutes in a calendar month in which the MCP server and the REST API answer the external monitor, which checks them every minute. We publish each month's figure on Socializza's public status page.
12.4. The following do not count as unavailability:
- maintenance announced at least 48 hours ahead, up to 4 hours a month;
- outages of the platforms or of your agents;
- a suspension under section 15;
- force majeure.
13. Content and intellectual property
13.1. Customer content remains yours.
13.2. You grant us a non-exclusive, royalty-free licence to store, copy, convert and transmit customer content. The licence applies only to provide Socializza to you, for example to publish on the platforms you choose or to deliver content to your agents. It lasts for the term of the contract and, after it ends, for the retention periods in section 10 of the privacy notice, for a personal workspace, and in Annex II of the data processing agreement, for a business workspace.
13.3. We do not use customer content for our own purposes. We do not use it to train, fine-tune or evaluate artificial intelligence models.
13.4. Socializza, its software, its documentation and its distinctive signs remain the property of ITALDRONI S.r.l. We grant you the non-exclusive, non-transferable right to use Socializza for the term of the contract, within the limits of your plan.
14. Personal data
14.1. In a business workspace you are the controller of the workspace content and we are the processor, on every plan, Gratis included. The data processing agreement applies.
14.2. We are the controller of the processing described in the privacy notice, including everything that takes place in a personal workspace.
15. Suspension and content decisions
15.1. We may suspend the workspace, an account or an agent, in whole or in part, if:
- you, one of your members or one of your agents breaches the acceptable use policy;
- you do not pay a fee that is due;
- there is a risk to the security of Socializza, its customers or third parties.
15.2. We notify you before suspending. If the risk is immediate, we suspend at once and notify you the same day.
15.3. During the suspension the kill switch and agent pause remain available to you.
15.4. The suspension ends when its cause ends.
15.5. We do not generally monitor customer content. We examine content or an account only after a report, a request from an authority or a platform, or a signal from our security checks.
15.6. A person takes every decision on content and every suspension decision. Automated tools apply only technical limits: request rate limits, platform quotas and security checks. They do not assess content.
15.7. Anyone may report illegal content to us through the procedure in section 7 of the acceptable use policy.
15.8. If we remove or disable customer content, suspend the service or an account, or terminate the contract, we send you a written statement of reasons by email and in the app (Art. 17 of Regulation (EU) 2022/2065). The statement of reasons states:
- the measure, its scope and its duration;
- the facts it relies on, and whether a report triggered it;
- whether we used automated tools;
- for illegal content, the rule that makes it illegal and why; for a breach of contract, the clause breached and why;
- how you can challenge the decision, including in court (sections 15.10 and 15.11).
15.9. The notice in section 15.2 contains the statement of reasons. If we suspend at once, we send you the statement of reasons on the day of the suspension.
15.10. You may challenge the decision within 6 months of the statement of reasons, by replying to it or by writing to dsa@socializza.com. A person other than the one who decided reviews the challenge and answers you with reasons. If the challenge is well founded, we revoke the measure.
15.11. You may always go to the court in section 22. If you are a consumer, the protections in section 21 remain.
15.12. If facts emerge that give rise to a suspicion of a criminal offence threatening the life or safety of a person, we inform the competent authorities at once (Art. 18 of Regulation (EU) 2022/2065).
16. Term and termination
16.1. The contract is for an indefinite term. A paid plan renews under section 7.4.
16.2. You may delete the workspace at any time. Deletion gives no right to a refund, except in the cases in section 7.6.
16.3. If you, one of your members or one of your agents breaches section 2, 3 or 6 of the acceptable use policy, we may terminate the contract by written notice, under Art. 1456 of the Codice civile. Within 14 days we refund the part already paid for the period after termination. From a business customer we may withhold only the damage the breach caused us, documented in writing in the termination notice. The customer may challenge it.
16.4. A business customer may terminate without penalty in the following cases:
- an objection to a sub-processor, on the terms of section 7.4 of the data processing agreement;
- changes it does not accept, under section 19.4.
16.5. We may withdraw from the contract with 90 days' notice, which we send you by email and in the app. We refund the part already paid for any period after the contract ends.
16.6. We may close a Gratis workspace in which no member has signed in and no agent has connected for 12 months. We notify you by email at least 30 days before. If a member signs in meanwhile, the workspace stays open. On closure the contract ends and section 17 applies.
17. Export and deletion of data
17.1. For a business workspace, section 11 of the data processing agreement applies. On termination you choose between the return and the deletion of the data.
17.2. For a personal workspace, sections 15 and 16 of the privacy notice apply.
17.3. In both cases:
- we delete workspace data from the active systems within 30 days of deletion of the workspace;
- we keep each approval record for 5 years from publication of the post, including after termination of the contract;
- on termination you receive the signed export of the approval records and may ask for their early deletion;
- deleted data may remain in backups, in encrypted form only, for up to 13 months;
- we keep invoices for 10 years.
18. Liability
18.1. Towards a business customer, we are not liable for:
- the content that your agents and your members publish, reply or moderate;
- the operation of your agents, or the processing that their provider carries out outside Socializza;
- the way your agents react to third-party comments, mentions and direct messages, which we deliver as untrusted data, with a provenance marker and a length cap;
- the services, changes and decisions of the platforms.
18.2. Towards a business customer, our total liability for damage arising from the contract, including the data processing agreement, does not exceed the fees the customer paid us in the 12 months preceding the event that caused the damage. The cap does not affect the compensation owed to data subjects (Art. 82 of Regulation (EU) 2016/679).
18.3. The limitations in this section do not apply to damage caused by wilful misconduct or gross negligence (Art. 1229(1) of the Codice civile). Nor do they apply to breaches of obligations set by rules of public policy (Art. 1229(2) of the Codice civile).
18.4. This section does not limit the rights that the law grants to consumers.
19. Changes to the terms and the service
19.1. We may change these terms, limit the Gratis plan, or change and disable Socializza features only for one of the following reasons (Art. 33(2)(m) and Art. 135-vicies semel of the Codice del consumo):
- a change in the law or an order of an authority;
- a change to a platform's API or terms;
- the security of Socializza, its customers or third parties;
- the addition of new features or new platforms;
- the cost of running the Gratis plan, its abuse or the quotas a platform imposes on it.
Prices of paid plans change under section 6.7.
19.2. We notify you at least 30 days before the date on which the change applies, by email and in the app. The notice states the reason and your right to end the contract, under section 19.4 if you are a business customer or under section 19.5 if you are a consumer. If a law, an authority, a platform or a security risk does not leave us 30 days, we notify you as soon as possible and in any case before the change applies, unless there is an immediate security risk.
19.3. If you continue to use Socializza after that date, you accept the amended terms.
19.4. If you are a business customer and do not accept a change, you may terminate the contract before the date on which it applies, without penalty. We refund pro rata the part already paid for the period after termination.
19.5. If you are a consumer, you may terminate the contract free of charge when the change negatively affects your access to Socializza or your use of it. You may do so within 30 days of the notice or of the change taking effect, whichever is later. We refund pro rata the part already paid for the period after termination (Articles 135-noviesdecies and 135-vicies of the Codice del consumo).
20. Communications
20.1. We write to you at the email address of the workspace owner and in the app.
20.2. You write to us at the addresses in section 1.
21. Consumer protection
21.1. No clause of these terms limits the rights that mandatory rules grant to consumers.
21.2. In particular, these rights remain:
- the right of withdrawal in section 8;
- the legal guarantee of conformity for digital services (Articles 135-octies onwards of the Codice del consumo);
- free termination under section 19.5;
- the consumer's court in section 22.3.
22. Governing law and jurisdiction
22.1. The contract is governed by Italian law.
22.2. For any dispute with a business customer, the courts of the place where ITALDRONI S.r.l. has its registered office have exclusive jurisdiction.
22.3. For any dispute with a consumer, the court of the place where the consumer resides or is domiciled has jurisdiction. For disputes over contracts covered by sections I to IV of Chapter I, Title III, Part III of the Codice del consumo, Art. 66-bis provides this. For any other dispute, Art. 33(2)(u) of the Codice del consumo applies. For a consumer domiciled in another Member State of the European Union, Art. 18 of Regulation (EU) No 1215/2012 applies.
22.4. If the consumer is habitually resident in another State, the choice of Italian law does not deprive the consumer of the protection of the mandatory rules of that State (Art. 6(2) of Regulation (EC) No 593/2008).
23. Language
These terms exist in Italian, English, Spanish, French and German. Towards a business customer, in the event of any discrepancy the Italian text prevails. Towards a consumer, a doubt arising from a discrepancy between the versions is resolved in the consumer's favour (Art. 35(2) of the Codice del consumo).
24. Specific approval
Under Articles 1341 and 1342 of the Codice civile, the business customer specifically approves the following clauses, by a separate confirmation when the contract is concluded:
- 3.4, prevalence of the Enterprise contract;
- 6.6 and 6.7, changes to the Gratis plan and to prices;
- 7.4, automatic renewal;
- 7.6 and 16.2, exclusion of refunds;
- 11.2 and 11.3, disabling of features and disconnection of accounts;
- 12.2, service credits only in the Enterprise contract;
- 15, suspension;
- 16.3, express termination clause;
- 16.5, our right to withdraw;
- 16.6, closure of an inactive Gratis workspace;
- 18, limitations of liability;
- 19, changes to the terms and the service;
- 22.2, exclusive jurisdiction.
